Buddyout.com reserves the right, in her sole discretion, to refuse to keep accounts for, or provide Services to, any user. Bddyout.com again reserve the right to suspend or terminate any user  account if any information provided during the registration process or at other times proves to be misleading, inaccurate, not current or incomplete.

You are responsible for ensuring the confidentiality and security of your account information, including your username and password. You will immediately notify buddyout.com of any unauthorized use of your account. Buddyout.com cannot and will not be liable for any loss or damage arising from your failure to properly comply with this section.

Responsibility for the Content Users Submit
Users may submit, post, or upload content such as program/event notice/information, videos, pictures, and others, and  are solely responsible for its accuracy, and ensures that it does not violate any third-party rights. Users further agree that all risks, including but not limited to any third-party right violation, any liability arising from any false, misleading, or defamatory content, shall solely attribute to the User and in no case www.buddyout.com and its affiliates, including its directors and officers be liable for any claim or liability arising from such content posted by the User, whether posted in the website or otherwise.

Users further agree that buddyout.com reserves all rights to reject, edit, delete, move any content, which are not in consonance with our business guidelines without providing any reasons or prior notice. Users may further note that buddyout.com do not verify, adopt or sanction any content and your use of any such content shall be at your own risk. We do not endorse or recommend products/services posted, uploaded, submitted or advertised by any party. All contents, logos, branding, recommendations and rankings are opinions of either you or third party, which may or may not be accurate. Buddyout.com does not assure quality, accuracy, and reliability of any content/ranking on the services. You may be exposed to content which is offensive/objectionable. Upon placing request to enforce any term on your behalf, buddyout.com may in her sole discretion initiate any investigation, if she believes another user(s) have violated any terms of this Website.

When users have linked-up, they shall agree to comply with their respective arrangements, then in no case shall buddyout.com be liable for any direct/indirect loss or tort arising out of any difference from their separate contractual obligations, conversation, quotes, product/service qualities, meetings etc.

Termination
Your use or access to this website or any part of it, may be terminated or restricted at any time, at our sole discretion. Several factors may trigger termination or restricted access, including but not limited to, when www.buddyout.com believes you have violated or acted inconsistently with the letter or spirit of the Terms of Service.

Assignment
These Terms of Service, and any rights and licenses granted hereunder, may not be transferred or assigned by you but may be assigned by www.buddyout.com without any restriction.

Force Majeure
No party will be liable for any delay or failure of performance under these Terms of Use resulting from a force majeure situation including but not limited to, acts of God, natural disasters, war, government regulations, terrorism, labour disputes and power failures.

Waiver and Severability
Our failure to act with respect to a breach of these General User Terms will not constitute a waiver and does not waive our right to act with respect to subsequent or similar breaches. If any of these General User Terms shall be deemed invalid, void, or for any reason unenforceable under applicable law, then that term shall be deemed severable and shall not affect the validity and enforceability of any remaining term or provision of these General User Terms.

Entire Agreement
These General User Terms, along with our Privacy Policy, constitute the entire and exclusive agreement between the parties with respect to the subject matter hereof; and supersede, replace any/or nullify any conflicting or additional terms.

Feedback
Any and all of your feedback about the Services, such as suggestions for corrections, updates, alterations, changes, or modifications to the Services will be the property of buddyout.com and you hereby assign any rights in such feedback to buddyout.com without any consideration to you.

Purpose for these Terms and Conditions
The user wishes to avail the services of buddyout.com he Organizer providing events on various topics from time to time. In order to accept the services of buddyout.com, the user expressly agrees to be bound by the Terms and Conditions specified herein.

These Terms and Conditions together read with registration requirements constitute the entire agreement. The user acknowledges and understands that he/she has full knowledge of these terms and conditions and is bound with them in every aspect and thereby has not relied on and shall have no remedy in respect of any statement, terms, conditions, representation, warranty, understanding, promise or assurance other than as expressly set out under this agreement, whether wilfully or negligently made by any person.

Prescribed Fee/ Payment Terms
There shall be no financial payment by the user to buddout.com to register/access www.buddyout.com. However, when the user desires the event/program to be given prominence/highlighted, or an advert to be carried on the site, or a reservation and ticket sale service to be executed by buddyout.com, the user shall pay full fee, which fee shall be inclusive of all taxes to buddyout.com  prior to buddyout.com fulfilling the user’s desires. .Buddyout.com reserves the right to vary this term of use in accordance with our business practices without prior notice to the user.

If payments are requested to be made by bank fund transfer/wire transfer/credit card/debit card/online payment platform, etc. users hereby acknowledge that they specifically authorize buddyout.com to levy charges over and above the amount agreed as listed above; that this Contract is valid, binding and enforceable; and that they have no basis to claim that any payments required under this Contract at any time are improper, disputed or unauthorized in any way.

Users should note that full pre-payment of agreed fees within the time specified is in the utmost mutual interest of buddyout.com and the user. Buddyout.com reserves the right to cancel the arrangement at any time for non-payment of full fees for any other reason whatsoever.

License
Subject to any additional terms and conditions as mentioned buddyout.com may at its own wish grant the user non-transferable, limited license exclusively for the purpose buddyout.com deems fit. All intellectual property rights in all materials produced or distributed by buddyout.com is expressly reserved as the sole property of buddyout.com and no user shall claim any interest/right/title therein. Any unauthorized duplication, publication or distribution is strictly prohibited.

Data Protection
Buddyout.com reserves the right to retain users’ information and can share with third parties such as advertisers for the purpose of communicating/promoting products and services which may be of interest to the user.

Indemnification
If the performance of this agreement or of any obligation of either of the Parties hereunder is prevented, restricted, delayed or interfered with for reasons beyond its control which shall include but not be limited to fire, explosion, strike, accident, epidemic, health issues, cyclone, earthquake, flood, war, revolution, civil commotion, riots, embargo, any law or order proclamation, regulation, ordinance or direction of any government, central, state, local or any sub division thereof or any other cause beyond the reasonable control of the Party affected, upon the Party so effected giving notice thereof to the other Party setting out there in particulars thereof, it shall be excused from the performance of its obligations to the extent prevented, delayed or interfered with for the period the Force Majeure condition persists. However, the Party so affected shall use its best efforts to remove such cause of Force Majeure as expeditiously as possible and shall continue performance hereunder with due dispatch, whenever such Force Majeure causes are removed.

Without limiting the generality of aforementioned, the user hereby expressly agrees that buddyout.com shall in no event indemnify any user and that the user holds buddyout.com and its officers, servants, personnel, harmless against any and all costs, damages, losses, expenses, liability, claim, action including but not limited to court costs (including any/all attorney fees and court fees), travel fees, marketing fees, participation/sponsorship fees arising out of any reasons whatsoever or relating to or as a consequence of any happening including but not limited to any cancellation, postponement, change in date, venue and/ or speaker or cancellation of event owing to any reasons/reasons without limitation: fire, explosion, strike, accident, epidemic, health issues, cyclone, earthquake, flood, war, revolution, civil commotion, riots, embargo, any law or order proclamation, regulation, ordinance or direction of any government, central, state, local or any sub division thereof or any other cause beyond the reasonable control of the party affected.

Governing Law
This Agreement shall be fully enforceable under the laws of Ghana in Ghana.
